2.1. Legal Competence and Age

The Seller must be a natural person aged 18 years or older or a legal entity duly incorporated and authorised to enter into binding agreements under Indian law. The Seller affirms that they are legally competent and of sound mind to enter into this agreement.

2.2. Identity Verification

The Seller must present a valid, government-issued identification document (e.g., Aadhaar Card, Passport, Voter ID Card, or, in the case of a business, relevant incorporation documents and authorised signatory details) at the time of transaction. Reebuy reserves the right to retain copies of such documents for record-keeping and legal compliance.

2.3. Ownership and Authenticity

• The Seller explicitly represents and warrants that they are the sole, lawful, and undisputed owner of the electronic device being sold or are duly authorised by the legal owner to sell the device.
• The Seller guarantees that the device has been acquired through legal means and is not obtained, directly or indirectly, through theft, fraud, cloning, misappropriation, or any other illegal activity.
• The device must have been originally purchased in India. Devices obtained as gifts, donations, or through specific schemes (e.g., government welfare programs, NGO distributions, corporate employee benefit schemes, promotional giveaways) will not be accepted.
• The Seller shall be solely responsible for any legal consequences, civil or criminal, arising from any misrepresentation of ownership, illegal origin, or any third-party claims related to the device. Reebuy shall have the right to report such instances to the relevant law enforcement authorities.

2.4. Data Deletion

The Seller is solely responsible for backing up and permanently deleting all personal, sensitive, confidential, or proprietary data, information, and content (including but not limited to contacts, messages, photos, videos, applications, and account details) from the electronic device before handing it over to Reebuy. Reebuy assumes no responsibility or liability for any data loss, data breaches, or unauthorised access to data that may occur due to the Seller's failure to adequately delete such data. The Seller indemnifies Reebuy against any claims arising from such data.

2.5. Device Condition and Description Accuracy

The electronic device must be in the exact condition as described by the Seller during the initial offer or quotation process. Any discrepancies in condition, missing parts, functional defects not disclosed, or differences in model/specification may lead to a revised offer or outright cancellation of the transaction by Reebuy at its sole discretion.

3.1. Right to Inspect

Reebuy reserves the unconditional right to inspect, test, and verify the electronic device, its condition, and functionality at any stage, including but not limited to before pickup, during pickup, and after pickup at our facility.

3.2. Consequences of Defects/Discrepancies

• The Seller explicitly represents and warrants that they are the sole, lawful, and undisputed owner of the electronic device being sold or are duly authorised by the legal owner to sell the device.
• In cases where payment has already been made, Reebuy reserves the right to reclaim the full purchase amount from the Seller. The Seller is obligated to return the amount within a specified timeframe (e.g., 3 business days) upon demand from Reebuy.
• Reebuy shall also be entitled to recover from the Seller all costs, damages, and losses incurred, including but not limited to transportation costs, inspection charges, handling fees, storage charges, legal fees, and any other incidental or consequential losses.

3.3. Pickup Protocol

• At the time of pickup, the person whose name is on the invoice or who has been duly authorised by the Seller (with valid proof of authorisation) must be physically present to facilitate the handover.
• The electronic device must only be handed over to a verified Reebuy employee or authorised representative. The Seller must verify the identity of the individual by checking their official Reebuy identification card/badge.
• Reebuy shall not be held responsible or liable for any electronic devices handed over to unauthorised persons who are not official representatives of the company.
• The Seller must provide the original purchase invoice or valid proof of ownership (e.g., bill of sale, warranty card) for the electronic device at the time of pickup. Failure to produce such proof may result in cancellation of the transaction.

4.1. Mode of Payment

Payment for accepted electronic devices will be processed only to the verified bank account of the legal owner of the device or an authorised seller, as identified through the provided government-issued identification and ownership documents. Cash payments are generally not made for security and compliance reasons.

4.2. Revocation/Cancellation of Payment

Any payment made by Reebuy for a purchased device is conditional and subject to the device being verified as legitimate, non-fraudulent, and as per the Seller's description. If, after payment, the device or any associated product is found to be fraudulent, illegal, stolen, counterfeit, or not matching the description, Reebuy reserves the absolute right to revoke, cancel, or recall the payment.

4.3. Seller's Liability for Illegal Products

The Seller shall be solely and exclusively responsible and liable for any fraudulent, illegal, or misrepresented product. In such cases, the Seller is obligated to immediately refund the entire amount of credit/payment received from Reebuy, along with any additional costs, damages, or legal expenses incurred by Reebuy, as outlined in Clause 3.2(c).

6.1. Right to Accept/Reject

Reebuy reserves the absolute and sole discretion to accept or reject any electronic device or cancel any transaction for any reason whatsoever, including but not limited to suspicion of fraud, violation of these Terms, or market conditions, without providing prior notice or explanation.

6.2. Suspicious/Fraudulent Transactions

Any transaction deemed suspicious, fraudulent, or in violation of applicable laws may be cancelled immediately without prior notice. Reebuy reserves the right to report such transactions and relevant information to law enforcement agencies and to pursue all available legal remedies.

6.3. Amendments

These Terms & Conditions may be updated, modified, or amended by Reebuy from time to time, without prior notification to the Seller. The updated Terms will be effective upon posting on our official website. It is the Seller's responsibility to review these Terms periodically for any changes. Continued use of our services after any such modifications shall constitute your consent to such modifications.

6.4. Governing Law and Jurisdiction

These Terms and any disputes arising out of or in connection with them shall be governed by and construed by the laws of India. The courts in Delhi, India, shall have exclusive jurisdiction to entertain any suit, application, or other proceedings arising out of or in connection with these Terms or the services provided by Reebuy.

6.5. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed from these Terms, and the remaining provisions shall remain in full force and effect.

6.6. Force Majeure

Reebuy shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labour, or materials.

6.7. Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between the Seller and Reebuy concerning the subject matter hereof and supersede all prior or contemporaneous communications, understandings, and agreements, whether oral or written.
